Spackman
\nEntertainment Group Limited (“SEGL<\/strong>” or the “Company<\/strong>“),
\nand together with its subsidiaries, (the “Group<\/strong>“), is
\none of Korea’s leading entertainment production groups. SEGL is primarily
\nengaged in the independent development, production, presentation, and financing
\nof theatrical motion pictures in Korea.<\/p>\n

The Company was founded in 2011 by media and
\ntechnology investor\u00a0Charles Spackman\u00a0who served as the Company’s Executive
\nChairman until 2017. For the past two decades, Mr. Charles Spackman has been a
\npowerhouse in the Korean entertainment industry starting in the early 2000’s
\nwith the pioneering success of Sidus Pictures, the largest movie production
\ncompany at the time and the first to be listed in Korea. Mr. Spackman is also
\nthe Founder, Chairman and Chief Executive Officer of the global investment

Since its founding, SEGL had produced more than 30
\nmajor motion pictures including a number of the highest grossing and
\naward-winning films in Korea, namely #ALIVE<\/i> (2020), CRAZY ROMANCE<\/i>
\n(2019), DEFAULT<\/i> (2018), MASTER<\/i> (2016), THE PRIESTS<\/i> (2015),
\nSNOWPIERCER<\/i> (2013), COLD EYES<\/i> (2013) and ALL ABOUT MY WIFE<\/i>
\n(2012).<\/p>\n

Our films are theatrically distributed and released
\nin Korea and overseas markets, as well as for subsequent post-theatrical
\nworldwide release in other forms of media, including online streaming, cable
\nTV, broadcast TV, IPTV, video-on-demand, and home video\/DVD, etc. Generally, we
\nrelease our motion pictures into wide-theatrical exhibition initially in Korea,
\nand then in overseas and ancillary markets.\u00a0<\/p>\n

The Group also invests into and produces Korean
\ntelevision dramas. In addition to our content business, we also own equity
\nstakes in entertainment-related companies and film funds that can financially

SEGL owns Novus Mediacorp Co., Ltd. (“Novus
\nMediacorp<\/strong>“), an investor, presenter, and\/or post-theatrical
\ndistributor for a total of 79 films (58 Korean and 21 foreign) including\u00a0ROSE OF BETRAYAL<\/em>,\u00a0THE OUTLAWS<\/em>\u00a0and\u00a0SECRETLY, GREATLY<\/em>,
\nwhich was one of the biggest box office hits of 2013 starring Kim Soo-hyun
\nof\u00a0MY
\nLOVE FROM THE STARS<\/em>, as well as\u00a0FRIEND 2: THE GREAT LEGACY<\/em>.
\nIn 2012, Novus Mediacorp was also the post-theatrical rights distributor
\nof\u00a0ALL
\nABOUT MY WIFE<\/em>, a top-grossing romantic comedy produced by Zip
\nCinema. In 2018,\u00a0THE OUTLAWS<\/em>, co-presented by Novus Mediacorp broke the

The Company owns a 100% equity interest in Simplex
\nFilms Limited (“Simplex Films<\/strong>“) which is an early stage film
\nproduction firm. The maiden film of Simplex Films,\u00a0JESTERS: THE GAME CHANGERS<\/em>\u00a0(2019),
\nwas released in Korea on 21 August 2019. Simplex Films has several line-up of
\nfilms including\u00a0HURRICANE BROTHERS<\/i>\u00a0(working title).<\/p>\n

The
\nCompany owns a 100% equity interest in Take Pictures Pte. Ltd. (“Take
\nPictures<\/strong>“) which produced\u00a0STONE SKIPPING<\/em>\u00a0(2020)
\nand\u00a0THE BOX<\/em>\u00a0(2021), and shall release\u00a0GUARDIAN<\/em>\u00a0(working
\ntitle) in 2022 tentatively. \u00a0\u00a0<\/p>\n

The Company owns a 100% equity interest in Greenlight
\nContent Limited (“Greenlight Content<\/strong>“) which is mainly involved in
\nthe business of investing into dramas and movies, as well as providing
\nconsulting services for the production of Korean content. Through the
\nacquisition of Greenlight Content, the Group’s first co-produced drama,\u00a0MY SECRET TERRIUS<\/em>,
\nstarring top Korean star, So Ji Sub, achieved #1 in drama viewership ratings
\nfor its time slot and recorded double digits for its highest viewership
\nratings. Greenlight Content was one of the main investors of\u00a0MY SECRET TERRIUS.<\/em><\/p>\n

The
\nCompany owns a 20% equity interest in The Makers Studio Co. Ltd., which plans
\nto produce and release four upcoming films, the first of which will be\u00a0THE ISLAND OF THE GHOST’S WAIL<\/em>,

Talent Representation<\/b><\/span><\/i><\/p>\n

The Company holds an effective
\nshareholding interest of 43.88% in Spackman Media Group Limited (“SMGL<\/strong>“).
\nSMGL, a company incorporated in Hong Kong, together with its subsidiaries, is
\ncollectively one of the largest entertainment talent agencies in Korea in terms
\nof the number of artists under management, including some of the top names in
\nthe Korean entertainment industry. SMGL operates its talent management business
\nthrough renowned agencies such as MSteam Entertainment Co., Ltd. (Son Ye-jin,
\nLee Min-jung, Ko Sung-hee), UAA&CO Inc. (Song Hye-kyo, Yoo Ah-in, Park Hyung-sik),
\nFiftyone K Inc. (So Ji Sub, Ok Taec-yeon), SBD Entertainment Inc. (Son Suk-ku),
\nand Kook Entertainment Co., Ltd. Through these full-service talent agencies in

\nis primarily involved in the business of overseas agency for Korean artists
\nventuring into the overseas market. The P Factory is an innovative marketing
\nsolutions provider specializing in event and branded content production. PMG is
\na talent management agency which represents and manages the careers of major
\nartists in film, television, commercial endorsements and branded entertainment.

The Company owns a 100% equity interest in Frame
\nPictures Co., Ltd. (“Frame Pictures<\/strong>“). Frame
\nPictures is a leader in the movie\/drama equipment leasing business in Korea.
\nEstablished in 2014, Frame Pictures has worked with over 25 top directors and
\nprovided the camera and lighting equipment some of Korea’s most notable drama
\nand movie projects including\u00a0ITAEWON CLASS<\/em>\u00a0(2020),\u00a0HOW TO BUY A FRIEND<\/em>\u00a0(2020),\u00a0KIM JI-YOUNG, BORN 1982<\/em>\u00a0(2019),\u00a0FOUR MEN<\/em>\u00a0(2019)
