Spackman
\nEntertainment Group Limited (“SEGL<\/b>” or the “Company<\/b>“), and
\ntogether with its subsidiaries, (the “Group<\/b>“), is one of Korea’s leading
\nentertainment production groups. SEGL is primarily engaged in the independent
\ndevelopment, production, presentation, and financing of theatrical motion
\npictures in Korea.<\/p>\n

The
\nCompany was founded in 2011 by media and technology investor Charles Spackman
\nwho served as the Company’s Executive Chairman until 2017. For the past two
\ndecades, Mr. Charles Spackman has been a powerhouse in the Korean entertainment
\nindustry starting in the early 2000’s with the pioneering success of Sidus
\nPictures, the largest movie production company at the time and the first to be
\nlisted in Korea. Mr. Spackman is also the Founder, Chairman and Chief Executive
\nOfficer of the global investment firm, Spackman Group.<\/p>\n

Since
\nits founding, SEGL had produced more than 30 major motion pictures including a
\nnumber of the highest grossing and award-winning films in Korea, namely #ALIVE<\/i>
\n(2020), CRAZY ROMANCE<\/i> (2019), DEFAULT<\/i> (2018), MASTER<\/i>
\n(2016), THE PRIESTS<\/i> (2015), SNOWPIERCER <\/i>(2013), COLD EYES<\/i>
\n(2013) and ALL ABOUT MY WIFE<\/i> (2012).<\/p>\n

The Group also invests into and produces Korean television
\ndramas. In addition to our content business, we also own equity stakes in
\nentertainment-related companies and film funds that can financially and

\nowns Novus Mediacorp Co., Ltd. (“Novus
\nMediacorp<\/b>“), an investor, presenter, and\/or post-theatrical distributor for
\na total of 79 films (58 Korean and 21 foreign) including ROSE OF BETRAYAL<\/i>, THE OUTLAWS<\/i>
\nand SECRETLY, GREATLY<\/i>, which was one
\nof the biggest box office hits of 2013 starring Kim Soo-hyun of MY LOVE FROM THE STARS<\/i>, as well as FRIEND 2: THE GREAT LEGACY<\/i>. In 2012,
\nNovus Mediacorp was also the post-theatrical rights distributor of ALL ABOUT MY WIFE<\/i>, a top-grossing
\nromantic comedy produced by Zip Cinema. In 2018, THE OUTLAWS<\/i>, co-presented by Novus Mediacorp broke the all-time
\nhighest Video On Demand (“VOD<\/b>“)

The
\nCompany owns a 100% equity interest in Simplex Films Limited (“Simplex Films<\/b>“)
\nwhich is an early stage film production firm. The maiden film of Simplex Films,
\nJESTERS: THE GAME CHANGERS<\/i> (2019), was released in Korea on 21 August
\n2019. Simplex Films has several line-up of films including HURRICANE BROTHERS<\/i> (working title).<\/p>\n

The Company owns a 100% equity
\ninterest in Take Pictures Pte. Ltd. (“Take
\nPictures<\/b>“) which produced STONE SKIPPING <\/i>(2020) <\/i>and THE
\nBOX <\/i>(2021), and shall release GUARDIAN <\/i>(working title) in 2021
\ntentatively.\u00a0 \u00a0<\/i><\/p>\n

The Company owns a 100%
\nequity interest in Greenlight Content Limited (“Greenlight Content<\/b>“) which is mainly
\ninvolved in the business of investing into dramas and movies, as well as
\nproviding consulting services for the production of Korean content. Through the
\nacquisition of Greenlight Content, the Group’s first co-produced drama, MY
\nSECRET TERRIUS<\/i>, starring top Korean star, So Ji Sub, achieved #1 in drama viewership ratings for
\nits time slot and recorded double digits for its highest viewership
\nratings. Greenlight Content was one of the main investors of MY SECRET
\nTERRIUS.<\/i><\/p>\n

The
\nCompany owns a 20% equity interest in The Makers Studio Co. Ltd., which plans
\nto produce and release four upcoming films, the first of which will be THE
\nISLAND OF THE GHOST’S WAIL<\/i>, a comedy horror film.<\/p>\n

Our
\nfilms are theatrically distributed and released in Korea and overseas markets,
\nas well as for subsequent post-theatrical worldwide release in other forms of
\nmedia, including online streaming, cable TV, broadcast TV, IPTV,
\nvideo-on-demand, and home video\/DVD, etc. We release all of our motion pictures
\ninto wide-theatrical exhibition initially in Korea, and then in overseas and
\nancillary markets. <\/p>\n

\nCompany holds an effective shareholding interest of 43.88% in Spackman Media
\nGroup Limited (“SMGL<\/b>“). SMGL, a
\ncompany incorporated in Hong Kong, together with its subsidiaries, is
\ncollectively one of the largest entertainment talent agencies in Korea in terms
\nof the number of artists under management, including some of the top names in
\nthe Korean entertainment industry. SMGL operates its talent management business
\nthrough renowned agencies such as MSteam Entertainment Co., Ltd. (Son Ye-jin,
\nLee Min-jung, Ko Sung-hee), UAA&CO Inc. (Song Hye-kyo, Yoo Ah-in, Park
\nHyung-sik), Fiftyone K Inc. (So Ji Sub, Ok Taec-yeon), SBD Entertainment Inc.
\n(Son Suk-ku), and Kook Entertainment Co., Ltd. Through these full-service
\ntalent agencies in Korea, SMGL represents and guides the professional careers
\nof a leading roster of award-winning actors\/actresses in the practice areas of
\nmotion pictures, television, commercial endorsements, and branded
\nentertainment. SMGL leverages its unparalleled portfolio of artists as a

\nbusiness of overseas agency for Korean artists venturing into the overseas
\nmarket.\u00a0The P Factory is an innovative marketing solutions provider
\nspecializing in event and branded content production. PMG is a talent
\nmanagement agency which represents and manages the careers of major artists in
\nfilm, television, commercial endorsements and branded entertainment.<\/span><\/p>\n

\nequity interest in Frame Pictures Co., Ltd. (“Frame Pictures<\/b>“). Frame

\nEstablished in 2014, Frame Pictures has worked with over 25 top\u00a0directors and provided
\nthe camera and lighting equipment for some of Korea’s most notable drama and
\nmovie projects including <\/span>ITAEWON CLASS <\/i>(2020), <\/span>HOW TO BUY A FRIEND <\/i>(2020),
\n<\/span>KIM JI-YOUNG, BORN 1982 <\/i>(2019), <\/span>FOUR MEN <\/i>(2019) and <\/span>ASADAL
\nCHRONICLES <\/i>(2019).<\/span><\/p>\n
