\nits wholly-owned subsidiary Asiapac Growth Holdings Limited (“Asiapac<\/b>“) entered
\ninto a joint cooperation agreement (the “JC Agreement<\/b>“) with Splendid
\nPowerful Limited (“Splendid Powerfu<\/b>l”), being owned as to 60%- by Silver
\nMap Holdings Corporation Limited (“Silver Map<\/b>“), pursuant to which a new
\nentity, namely Meta Technology International Limited (“Meta<\/b>“), will be incorporated
\nin Hong Kong Special Administrative Region (“HKSAR<\/b>“).\u00a0 Meta will be beneficially owned as to 60% by
\nAsiapac and as to 40% by Splendid Powerful.<\/p>\n
\nis principally engaged in the provision of financial technology solutions and
\nservices to clients including:<\/p>\n
\nassisting clients to digitalize of their artworks
\nsuch as paintings, sculptures, photos and music<\/p>\n
\nnon-fungible tokens (“NFTs”) using blockchain technology;<\/p>\n
\narranging and designing unique promotion campaigns
\nfor the NFTs;<\/p>\n
\nassisting clients to tokenize tangible and
\nintangible assets into security tokens and listing the<\/p>\n
\ntokens on decentralized security token exchanges; and<\/p>\n
\ntrade their NFTs on the NFT marketplaces.<\/p>\n
