Spackman Entertainment Group
\nLimited (“SEGL<\/b>” or the “Company<\/b>“), and together with its
\nsubsidiaries, (the “Group<\/b>“), founded
\nin 2011 by Charles Spackman, is one of Korea’s leading entertainment production
\ngroups. SEGL is primarily engaged in the independent development, production,
\npresentation, and financing of theatrical motion pictures in Korea. According
\nto Variety, Korea was the world’s fourth largest box office market in 2019,
\nbehind only North America, China and Japan. <\/p>\n

Since incorporation in 2011,
\nSEGL had produced more than 30 films including a number of highest grossing and
\naward-winning films in Korea, namely #ALIVE<\/i> (2020), CRAZY ROMANCE<\/i>
\n(2019), DEFAULT<\/i> (2018), MASTER<\/i> (2016), THE PRIESTS<\/i> (2015),
\nSNOWPIERCER <\/i>(2013), COLD EYES<\/i> (2013) and ALL ABOUT MY WIFE<\/i>
\n(2012).<\/p>\n

The
\nGroup also invests into and produces Korean television dramas. In addition to
\nour content business, we also own equity stakes in entertainment-related
\ncompanies and film funds that can financially and strategically complement our

SEGL owns Novus Mediacorp Co.,
\nLtd. (“Novus Mediacorp<\/b>“), an investor,
\npresenter, and\/or post-theatrical distributor for a total of 79 films (58
\nKorean and 21 foreign) including ROSE OF
\nBETRAYAL<\/i>, THE OUTLAWS<\/i> and SECRETLY, GREATLY<\/i>, which was one of the
\nbiggest box office hits of 2013 starring Kim Soo-hyun of MY LOVE FROM THE STARS<\/i>, as well as FRIEND 2: THE GREAT LEGACY<\/i>. In 2012, Novus Mediacorp was also the
\npost-theatrical rights distributor of ALL
\nABOUT MY WIFE<\/i>, a top-grossing romantic comedy produced by Zip Cinema. In
\n2018, THE OUTLAWS<\/i>, co-presented by

The Company owns a 100% equity
\ninterest in Simplex Films Limited (“Simplex Films<\/b>“) which is an early
\nstage film production firm. The maiden film of Simplex Films, JESTERS: THE
\nGAME CHANGERS<\/i> (2019), was released in Korea on 21 August 2019. Simplex
\nFilms has several line-up of films including HURRICANE
\nBROTHERS (working title).<\/p>\n

The
\nCompany owns a 100% equity interest in Take Pictures Pte. Ltd. (“Take Pictures<\/b>“) which produced STONE
\nSKIPPING <\/i>(2020) <\/i>and THE
\nBOX <\/i>(2021), and shall release GUARDIAN <\/i>(working title) in 2021
\ntentatively.\u00a0 \u00a0<\/i><\/p>\n

The Company owns a 100% equity interest in
\nGreenlight Content Limited (“Greenlight
\nContent<\/b>“) which is mainly
\ninvolved in the business of investing into dramas and movies, as well as
\nproviding consulting services for the production of Korean content. Through the
\nacquisition of Greenlight Content, the Group’s first co-produced drama, MY
\nSECRET TERRIUS<\/i>, starring top Korean star, So Ji Sub, achieved #1 in drama viewership ratings for
\nits time slot and recorded double digits for its highest viewership
\nratings. Greenlight Content was one of the main investors of MY SECRET
\nTERRIUS.<\/i><\/p>\n

The Company owns a 20% equity
\ninterest in The Makers Studio Co. Ltd., which plans to produce and release four
\nupcoming films, the first of which will be THE ISLAND OF THE GHOST’S WAIL<\/i>,
\na comedy horror film. <\/p>\n

Our films are theatrically
\ndistributed and released in Korea and overseas markets, as well as for
\nsubsequent post-theatrical worldwide release in other forms of media, including
\nonline streaming, cable TV, broadcast TV, IPTV, video-on-demand, and home
\nvideo\/DVD, etc. We release all of our motion pictures into wide-theatrical
\nexhibition initially in Korea, and then in overseas and ancillary markets. <\/p>\n

Talent Representation<\/i><\/span><\/p>\n

The Company holds an effective
\nshareholding interest of 43.88% in Spackman Media Group Limited (“SMGL<\/b>“). SMGL, a company incorporated in
\nHong Kong, together with its subsidiaries, is collectively one of the largest
\nentertainment talent agencies in Korea in terms of the number of artists under
\nmanagement, including some of the top names in the Korean entertainment
\nindustry. SMGL operates its talent management business through renowned
\nagencies such as MSteam Entertainment Co., Ltd. (Son Ye-jin, Lee Min-jung, Ko
\nSung-hee), UAA&CO Inc. (Song Hye-kyo, Yoo Ah-in, Park Hyung-sik), Fiftyone
\nK Inc. (So Ji Sub, Ok Taec-yeon), SBD Entertainment Inc. (Son Suk-ku), and Kook
\nEntertainment Co., Ltd. Through these full-service talent agencies in Korea,
\nSMGL represents and guides the professional careers of a leading roster of
\naward-winning actors\/actresses in the practice areas of motion pictures,
\ntelevision, commercial endorsements, and branded entertainment. SMGL leverages
\nits unparalleled portfolio of artists as a platform to develop, produce,
\nfinance and own the highest quality of entertainment content projects, including
\ntheatrical motion pictures, variety shows and TV dramas. This platform also
\ncreates and derives opportunities for SMGL to make strategic investments in
\ndevelopment stage businesses that can collaborate with SMGL artists. SMGL is an

The Company owns a 100% equity
\ninterest in Constellation Agency Pte. Ltd. (“Constellation Agency<\/b>“). Constellation
\nAgency, which owns The P Factory Co., Ltd. (“The P Factory<\/b>“) and Platform Media Group Co., Ltd. (“PMG<\/b>“), is primarily involved in the
\nbusiness of overseas agency for Korean artists venturing into the overseas
\nmarket. The P Factory is an innovative marketing solutions provider
\nspecializing in event and branded content production. PMG is a talent
\nmanagement agency which represents and manages the careers of major artists in
\nfilm, television, commercial endorsements and branded entertainment. <\/p>\n

Strategic Businesses<\/i><\/p>\n

The Company owns a 100% equity interest in Frame
\nPictures Co., Ltd. (“Frame Pictures<\/b>“). Frame Pictures is a leader in the
\nmovie\/drama equipment leasing business in Korea. Established in 2014, Frame
\nPictures has worked with over 25 top <\/p>\n

directors and provided the camera and lighting
\nequipment some of Korea’s most notable drama and movie projects including ITAEWON
\nCLASS <\/i>(2020), HOW TO BUY A FRIEND <\/i>(2020), KIM JI-YOUNG, BORN 1982
\n<\/i>(2019), FOUR MEN <\/i>(2019) and ASADAL CHRONICLES <\/i>(2019).<\/p>\n

We also operate a caf\u00e9-lounge
\ncalled Upper West, in the Gangnam district of Seoul and own a professional photography
\nstudio, noon pictures Co., Ltd. <\/p>\n
